Terms for using OMN

Ontario Machining Network, also called OMN, is a supplier directory and request for quote (RFQ) network that introduces businesses that need machined, fabricated, or other manufactured parts to shops that can make them.

In these Terms, OMN, we, us, and our refer to Ontario Machining Network. You and your refer to the person or organization using the service.

A Buyer is anyone who submits an RFQ or otherwise seeks parts, quotes, or manufacturing services through OMN, including manufacturer accounts. A Supplier is any shop or business that has a listing on OMN, receives an RFQ, submits a quote, or makes parts for a Buyer. A Vendor is any business listed on OMN that sells equipment, tooling, materials, or services to Suppliers.

By creating an account, ticking I accept, or using OMN, you agree to these Terms. If you do not agree, do not use OMN.

• OMN identifies, qualifies, and introduces manufacturing opportunities between Buyers and Suppliers. OMN acts only as a sourcing coordinator, introducer, and project management facilitator.
• OMN is not a buyer, seller, manufacturer, broker, agent, or guarantor. OMN does not design, manufacture, inspect, test, ship, store, or take title to any part or product.
• Buyers place purchase orders directly with Suppliers. Suppliers invoice Buyers directly, and Buyers pay Suppliers directly, unless OMN agrees otherwise in a separate signed agreement.
• Every quote, purchase order, contract, confidentiality agreement, and other arrangement for an opportunity is between the Buyer and the Supplier alone. OMN is not a party to it and has no obligations under it.
• OMN may choose which Suppliers receive an RFQ, and may decline, pause, or stop routing any RFQ. OMN does not guarantee RFQ volume, quote volume, response times, award of work, listing placement, search ranking, or leads.

• OMN is not responsible or liable for any RFQ, quote, purchase order, part, product, payment, or transaction, or for anything a Buyer, Supplier, or Vendor does or fails to do.

• Without limiting the point above, OMN is not liable for:

  • Manufacturing defects or product failures.
  • Quality issues, non-conforming products, or customer rejections.
  • Missed delivery dates or production delays.
  • Warranty claims, rework costs, or replacement costs.
  • Pricing errors, quoting errors, or cost overruns.
  • Non-payment, late payment, or the financial condition of any Buyer or Supplier.
  • The accuracy or completeness of any RFQ, drawing, specification, quote, listing, certification, or other information a user provides.
  • How a Buyer, Supplier, or Vendor uses, protects, or discloses information shared with them.
  • Injury, property damage, or other loss caused by any part or product.
  • Any dispute between Buyers, Suppliers, or Vendors.
• You deal with any Buyer, Supplier, or Vendor at your own risk. Before you rely on one, you are responsible for checking their identity, capabilities, capacity, certifications, insurance, financial standing, and compliance.
• Labels such as verified, featured, founding, Pro, or Premium do not mean OMN endorses, certifies, or guarantees a Supplier or Vendor.
• If you have a dispute with a Buyer, Supplier, or Vendor, you release OMN from all claims, demands, and damages arising out of or connected with that dispute, to the fullest extent permitted by law.

• If you are a Supplier, you are solely responsible for:

  • Meeting all print, quality, and specification requirements.
  • Manufacturing products in accordance with customer requirements.
  • Meeting agreed delivery schedules.
  • Providing accurate quotations.
  • Maintaining appropriate staffing, equipment, and production capacity.
  • Maintaining all required certifications and quality management systems.
  • Responding promptly to customer and OMN inquiries.

• Suppliers are solely responsible for:

  • Product quality.
  • Inspection and testing.
  • Non-conforming products.
  • Warranty claims.
  • Rework costs.
  • Replacement of rejected products resulting from Supplier performance.
• OMN does not assume responsibility for any quality issue, manufacturing defect, delivery delay, warranty claim, or customer rejection arising from Supplier performance.

• If you are a Buyer, you are solely responsible for:

  • The accuracy and completeness of your RFQs, drawings, specifications, quantities, and requirements.
  • Having the right to share every file and piece of information you submit.
  • Evaluating and selecting Suppliers, and checking their quotes, capabilities, and certifications.
  • Negotiating and entering into your own purchase orders, contracts, and confidentiality agreements.
  • Inspecting, testing, and accepting the parts you receive.
  • Paying Suppliers on the terms you agree with them.
  • Complying with the laws that apply to your project, including export controls and controlled goods rules.

• You agree to defend, indemnify, and hold harmless OMN and its directors, officers, employees, contractors, and representatives from any claims, damages, costs, losses, liabilities, or expenses, including reasonable legal fees, arising from:

  • Manufacturing defects or product failures.
  • Missed delivery commitments.
  • Warranty claims or quality issues.
  • Disputes with a Buyer, Supplier, or Vendor, including customer disputes related to Supplier performance.
  • Your RFQs, quotes, purchase orders, products, files, listings, or other content.
  • Your breach of these Terms, or your violation of any law or anyone else's rights.

• Suppliers must maintain commercially reasonable liability insurance coverage for as long as they use OMN to receive or respond to RFQs.
• Suppliers must provide evidence of insurance upon reasonable request.

• You agree to maintain strict confidentiality regarding customer information, drawings, specifications, pricing, and business information obtained through OMN, and to use it only to evaluate, quote, or perform the related opportunity.
• OMN may send a selected Supplier a time-limited link that reveals Buyer contact details and RFQ files. Keep that link confidential, do not forward it, and tell OMN promptly if it may have been disclosed. OMN may expire or revoke the link at any time.
• Where confidentiality, security, or intellectual property matter to a project, the Buyer and Supplier should sign their own written NDA. OMN is not responsible for a breach of confidentiality by a Buyer, Supplier, or Vendor.

• Upload drawings, CAD files, BOMs, specifications, and other project files only if you have the right to share them through OMN.
• Do not submit information subject to export controls or controlled goods rules, or regulated, personal, or highly sensitive information, unless you have the rights, permissions, and controls required to do so.
• OMN may make RFQ files available to OMN administrators and to the Suppliers selected to receive the RFQ.

• You may use OMN only for business or professional purposes and only if you can form a legally binding agreement. If you use OMN for an organization, you confirm you have authority to bind it to these Terms.
• Keep your account information accurate and your credentials secure, and tell OMN promptly if you believe your account, listing, RFQ, or files were accessed without permission.
• Do not impersonate any person or company, or claim or manage a listing you are not authorized to manage. OMN may verify, approve, reject, or revoke listing ownership at any time.
• Listings are built from public business information, information Suppliers and Vendors submit, and OMN curation, and may be visible to anyone. You are responsible for keeping your listing accurate, current, and lawful. OMN may edit, reject, rank, or remove listing content.

• You keep ownership of the content you submit, such as RFQ details, files, quotes, listing updates, photos, and messages.
• You grant OMN a worldwide, non-exclusive, royalty-free license to host, store, copy, process, display, transmit, and adapt that content as needed to operate, secure, improve, and promote OMN. For public listing content, this includes displaying it publicly.
• Do not upload gallery photos that reveal confidential customer work or anything you do not have permission to publish.
• If you send OMN feedback or ideas, OMN may use them without restriction or payment to you.

• OMN may offer paid memberships, sponsorships, promoted placement, and similar features. Plans, prices, and features may change over time.
• Payments are processed by Stripe or another payment provider. Unless a checkout page, invoice, or signed agreement says otherwise, fees are billed in advance and are non-refundable, and a cancelled membership keeps its paid features until the end of the current billing period.
• OMN may suspend or downgrade paid features if a payment fails, a charge is disputed, or these Terms are breached. OMN may grant, change, or end complimentary, founding, trial, or promotional benefits at its discretion.
• OMN's Managed Sourcing service, including its sourcing fee, is governed by a separate signed agreement and not by these Terms.

• Do not use OMN for anything unlawful, fraudulent, deceptive, infringing, or abusive, or to source or make unlawful goods or get around trade controls, sanctions, or export rules.
• Do not submit false or misleading information about a company, listing, RFQ, certification, quote, capacity, or identity.
• Do not send spam or unlawful commercial electronic messages through OMN.
• Do not upload malware, disrupt the service, bypass authentication, probe systems without authorization, or scrape OMN in a way that harms it.

• OMN may send you service messages about your account, security, RFQs, quotes, listings, billing, and notifications. Marketing messages include an unsubscribe option where the law requires one.
• OMN handles personal information as described in its Privacy Policy, which is part of these Terms.

• OMN is provided as is and as available. To the maximum extent permitted by law, OMN disclaims all warranties and conditions, express or implied, including merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, and security.
• OMN does not guarantee the accuracy of directory data, any Supplier's qualifications, certifications, pricing, capacity, lead times, quality, or compliance, or the outcome of any project.
• OMN relies on outside providers for hosting, authentication, payments, file storage, email, and analytics, and is not responsible for their services or for websites OMN links to.

• To the maximum extent permitted by law, OMN and its directors, officers, employees, contractors, and service providers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, business, or data, procurement delays, manufacturing defects, substitute goods, or reputational harm.
• To the maximum extent permitted by law, OMN's total liability for any claim related to the service is limited to the greater of 100 Canadian dollars or the amount you paid OMN for the service giving rise to the claim in the three months before the event giving rise to liability.
• Some laws do not allow these exclusions or limits. Where that is the case, they apply only to the extent the law permits.

• OMN may change, suspend, or discontinue any part of the service, and may suspend or close an account or remove content if it believes these Terms were breached or a user created risk for OMN or others.
• You may stop using OMN at any time. The sections on OMN's role, no liability, responsibilities, quality and warranty, indemnification, confidentiality, disclaimers, and limitation of liability continue to apply after you stop.

• These Terms are governed by the laws of Ontario and the federal laws of Canada that apply there, without regard to conflict of law rules.
• Unless the law requires otherwise, the courts located in Ontario have exclusive jurisdiction over disputes about these Terms or OMN.

• OMN may update these Terms from time to time. The updated version will be posted on this page with a new last updated date.
• If a change is material, OMN may give additional notice or ask you to accept the updated Terms. Continuing to use OMN after updated Terms take effect means you accept them.

• These Terms, together with the Privacy Policy and any separate agreement you sign with OMN, are the entire agreement between you and OMN about the service. If a signed agreement conflicts with these Terms, the signed agreement controls for its subject matter.
• If any part of these Terms is found unenforceable, the rest stays in effect. OMN not enforcing a term is not a waiver of it.
